Eli’s Cheesecake and Ghirardelli Chocolate Plate Décor & More Giveaway (the “GIVEAWAY”)

ELIGIBILITY: This giveaway is only open to foodservice operators who are legal residents of the
continental United States and the District of Columbia, 18 years or older at the time of entry and shall be
governed solely by U.S. law. Residents of Rhode Island, Alaska, and Hawaii are not eligible to enter.
Employees and their immediate families, including household members of “Sponsor” Eli’s Cheesecake
Company and Ghirardelli Chocolate Company (each, the “Sponsor”), their respective parent companies,
affiliates, subsidiaries, divisions, advertising, and promotion agencies are not eligible.
HOW TO ENTER: This Giveaway begins on 09:01 a.m. Central Daylight Time (“CDT”) on Saturday, May
20, 2023, and ends on 03:00 p.m. CDT on Tuesday, May 23, 2023 (the “Entry Period”).
To enter, fill out an entry form at either Sponsor’s tradeshow booth at the 2023 National Restaurant
Association Show at McCormick Place in Chicago, IL. Submit your entry at the Giveaway drop box
located at either Sponsor’s tradeshow booth.
Only one entry per person, per email address. Incomplete entries will not be accepted. All entries
become property of Sponsor. By entering you grant to Sponsor and its agents all rights to use your entry
for marketing or other purposes, in any media, worldwide, in perpetuity, without further compensation,
unless prohibited by law. Any information collected from the entry shall be used only in a manner
consistent with the consent given by entrants at the time of the entry, these Official Rules, and the
Sponsors’ Privacy Policies, which can be found at https://elicheesecake.com/privacy-policy/ and

PRIZES:
10 prizes available. Each prize includes: one (1) “Made With Ghirardelli” Eli’s Double Chocolate
Cheesecake, twelve (12) 16 Oz Ghirardelli Chocolate Premium Sauce, twelve (12) 16 Oz Ghirardelli
Caramel Premium Sauce, two (2) 5 lb. bags of Ghirardelli Premium Chocolate Barista Mini Chips.
Approximate Retail Value (“ARV”) of the Prize: $336.00. Sponsor will assume all responsibility for
shipping to a continental U.S. postal address. Shipping to PO Boxes is not possible.
ODDS OF WINNING ARE BASED ON THE NUMBER OF ENTRIES RECEIVED. By accepting the prize, you
will consent to Sponsor’s use of your name, voice, likeness, and entry materials for promotional
purposes, including online announcements, without additional compensation, except where prohibited
by law. All taxes and any expenses not specified herein are the sole responsibility of the winner. No
prize substitution, cash substitution, or assignment or transfer of prize is permitted, except by Sponsor
for reason of unavailability in which a prize of equal or greater value will be awarded. The potential
winner must meet all eligibility requirements set forth in these Official Rules to qualify for a prize.
DRAWING: The prize winner will be determined by a random drawing from all eligible entries received
by the end of the Entry Period. The random drawing shall be conducted by Sponsor, whose decisions
are final with respect to all aspects of the Giveaway. The winner will be notified through email by June
16, 2023. Winner may be required to complete, sign, and return an affidavit of eligibility and release
form within seven (7) business days of receipt of prize notification, or the prize may be forfeited. If prize
notification is returned as undeliverable or the winner fails to return the affidavit and release as
specified, the winner will be disqualified, and the award will be forfeited.
GENERAL CONDITIONS: Prize is provided “as is” and without any warranty of any kind. Sponsors reserve
the right to verify eligibility qualifications of any winner. Sponsors, Eli’s Cheesecake Company,
Ghirardelli Chocolate Company, and their respective affiliates, representatives, and advertising and
promotion agencies are not responsible for any: (a) telephone, computer, hardware, software, or
programming malfunctions or errors or interrupted or unavailable network, server or other connections,
network malfunction, or other technical failures or error; (b) communication disruption or other forces
beyond the reasonable control of the Sponsors, including inability to access the Website, submit
Submissions, or other disruption related to internet traffic, virus, bug or non-authorized intervention; (c)
damage caused by computer virus or otherwise resulting to any computer from entrant’s access of the
Website, whether human, mechanical or electronic, (d) incorrect or inaccurate information, whether
caused by the Website users or by any of the programming or equipment associated with or used in the
Giveaway, or (e) late, lost, unintelligible, misdirected, incomplete or garbled submissions. If, for any
reason, the Giveaway is not capable of running as planned by reason of, but not limited to, tampering,
unauthorized intervention, fraud, technical failures, or any other causes which Sponsors deem could
corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway,
Sponsors reserve the right at its sole discretion, to cancel terminate, modify or suspend the Giveaway.
Any attempt by user to deliberately damage the Website or undermine the legitimate operation of this
Website is a violation of Criminal and Civil Laws. Should such an attempt be made, Sponsors reserve the
right to seek damages from any such individual to the fullest extent permitted by applicable law.
LIMITATIONS OF LIABILITY: By using the Website and/or participating in the Giveaway, entrants agree
to release and hold harmless Sponsor, its respective affiliated companies including but not limited to
Eli’s Cheesecake Company, Ghirardelli Chocolate Company, subsidiaries, printers, advertising and
promotion agencies and each of their respective employees, officers, directors, representatives and
agents (collectively, the “Releasees”) from any and all liability for injuries, losses or damages of any kind
to persons, including death, or property arising in whole or in part, directly or indirectly, from
acceptance, use or misuse of a prize, participation, or inability to participate in the Website and/or the
Giveaway.
DISPUTES: Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of
action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually,
without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited
to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no
event attorneys’ fees; and (3) entrant hereby waives all rights to claim, indirect, punitive, incidental and
consequential damages and any other damages, and any and all rights to have damages multiplied or
otherwise increased. All issues and questions concerning the construction, validity, interpretation and
enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in
connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the
State of California, without giving effect to any choice of law or conflict of law rules (whether of the
State of California or any other jurisdiction), which would cause the application of the laws of any
jurisdiction other than the state of California.
WINNERS’ LIST: For the name of the winners, after 6/30/2023, email sponsor at
professionalproducts@ghirardelli.com Requests received more than sixty (60) days after the
completion of the entry period will not be honored.
