1. NO PURCHASE NECESSARY. 2. GAME DATES: Game begins on or about 10/1/07 and is scheduled to end 1/31/08, or upon distribution of all game pieces, whichever occurs earlier.

3. GAME PIECES: Game pieces are printed on the inside wrappers of specially marked Twilight Delight, Espresso Escape, Mint Bliss, Citrus Sunset and Toffee Interlude 3.5 ounce Ghirardelli Intense Dark Chocolate bars. For game piece/official rules without a purchase, mail self-addressed, stamped envelope (SASE) to: Ghirardelli Intense Dark Game Piece Request, P.O. Box 6662, Saddle Brook, NJ 07663, postmarked by 1/31/08, for receipt by 2/7/08. (VT residents omit return stamp.) One request per week per household. Sponsor and its agencies are not responsible for lost, late, misdirected, mutilated, incomplete, illegible, or postage-due mail or game pieces.

4. HOW TO PLAY: If message on game piece reveals you are a winner, you win prize indicated, subject to verification of game piece and your compliance with Official Rules.

5. PRIZES/APPROXIMATE RETAIL VALUES (ARV)/ODDS: (1) Grand Prize: A 4 day/3 night trip for (2) to Napa Valley, California for a wine experience. Trip includes round-trip air transportation from major airport nearest to winner’s residence to San Francisco, deluxe hotel accommodations for 3 nights (double occupancy), 1 full day tour of the Napa Valley, 1 full day tour of the Sonoma Valley, and round-trip shuttle transfers between San Francisco airport and hotel. 6. PRIZE RESTRICTIONS: No cash or other prize substitution in whole or in part except by Sponsor at its sole discretion. No prize transfers. If a Grand Prize or First Prize winner is not of age of majority (a "minor") in state or jurisdiction of residence, at Sponsor’s option prize either will be awarded to winner’s parent or legal guardian or parent or legal guardian will be required to confirm and sign required Affidavit and Release. Taxes on prize and any expenses related to the acceptance and use of a prize and not specified are the responsibility of the winner. Grand Prize travel is subject to airline and hotel availability, and restrictions and blackout dates apply. Travel must take place by 3/31/09 or prize will be forfeited. Sixty (60) days advance notice is required for air and hotel reservations. Confirmation will be given on a space-available basis only. Once a reservation has been confirmed, no changes are permitted. Reservations and airline tickets are non-refundable for cash or credit, non-transferable and non-changeable once issued. If lost, they will not be replaced. Grand Prize winner and travel companion must travel on same itinerary on dates and at times approved by Sponsor. Actual value of Grand Prize will vary depending upon winner’s residence and time of travel.

7. TO VERIFY/REDEEM PRIZES: Grand Prize, First Prize and Second Prize claims are subject to verification of game piece and compliance by claimant with Official Rules. Mail original game piece (inside wrapper) and 3" x 5" paper with printed name, address, date of birth and daytime telephone to: Ghirardelli Intense Dark Winner Claim, P.O. Box 6663, Saddle Brook, NJ 07663 for receipt by 3/17/08. Retain photocopy of game piece. Send prize claims by certified mail, return receipt requested. Proof of mailing does not constitute evidence that a winning game piece was submitted. After verification process, winners will be notified by mail. Free Product Coupon Prize may be redeemed at any participating retailer by date printed on coupon.

8. SECOND CHANCE DRAWING ("DRAWING"): A random drawing will be held on or about 3/31/08 to award Grand Prize and First Prize if unclaimed and unawarded. To enter, hand print name, address, date of birth, and daytime telephone on a 3" x 5" paper and mail to: Ghirardelli Intense Dark Instant Win Game Second Chance Drawing, P.O. Box 6664, Saddle Brook, NJ 07663 for receipt by 3/17/08. Only one entry per stamped envelope. No mechanically reproduced entries. Odds of winning depend upon if Grand Prize or First Prize are unclaimed and number of eligible entries received. Second Chance Drawing winners will be notified by mail. Unclaimed and unredeemed Second and Third Prizes will NOT be awarded.

9. GENERAL: By participating, participants agree: (a) to official rules and decisions of Sponsor and Alcone Marketing Group ("Alcone"), the judges, which decisions shall be final; (b) to release, discharge and hold harmless Sponsor, its affiliates, subsidiaries, advertising agencies and Alcone from any and all liability, claims, losses and damages arising in any manner out of their participation and the acceptance and use of any prize; (c) that Sponsor and its agents have made no representation, warranty or guaranty, expressed or implied, relative to a prize, including its quality or fitness for use; and (d) if a winner, to the use of his/her name, photo, biographical data and/or likeness for advertising and promotional purposes without additional compensation, and upon request to provide consent in writing for such use. Grand Prize and First Prize winners must complete and sign an Affidavit of Eligibility, Liability Release and (where legal) a Publicity Release, to be returned within a specified time. Travel guest of Grand Prize winner must execute a Liability Release and, where legal, Publicity Release within a specified time prior to issuance of travel documents. If travel guest is a minor, parent/legal guardian must confirm and sign release documents. Grand Prize winner and guest are responsible for required travel documents such as government-issued photo identification. Failure to timely return signed documents or return of any prize document or prize as undeliverable may cause prize to be forfeited and awarded in Second Chance Drawing. Grand Prize and First Prize winners will be issued an IRS 1099 form for the fair market value of the prize.

10. ADDITIONAL TERMS: Game pieces are void if not obtained from authorized, legitimate channels, or if they are in whole or in part illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained via fraud or theft. Game pieces are subject to verification and validation by Alcone. Sponsor and its agencies are not liable for printer or other errors or issuance of any void, misprinted or irregular game pieces. Liability for an irregular game piece is limited to provision of another game piece, while supplies last. In event production, seeding, printing, or other errors cause more than stated number of prizes in any category to be available and/or claimed, Sponsor reserves right to either (a) award the prizes in any such category by random drawing among eligible claimants who submitted valid game pieces in such category, or (b) terminate game with notice on www.ghirardelli.com and award all prizes in a random drawing among eligible prize claimants who submitted legitimately obtained valid game pieces. In no event will Sponsor be liable for awarding more than the number of prizes stated in these rules.

11. ARBITRATION/CHOICE OF LAW: (a) Except where prohibited by law, Participants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with Sweepstakes, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to take place in the State of California, U.S.A. pursuant to the then-current Rules of the American Arbitration Association, then effective, (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys’ fees or courts costs; and (3) under no circumstances will a Participant be permitted to obtain awards for and Participants hereby waive all rights to claim punitive, incidental, special, indirect and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SITE REFERRED TO HEREIN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant(s) and Sponsor and its agents in connection with the, Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without regard for conflicts of law doctrine; and (b) Should any term or provision of these Official Rules be concluded to be void, unenforceable or contrary to law, such term or provision shall, but only to the extent necessary to bring these Official Rules within the requirements of law, be deemed to be severed from the other terms and provisions hereof, and the remainder of these Official Rules shall be given effect as if it had not included the severed term herein.
